Terms of Service

These Terms govern your use of ODO โ€” OwnerDirect.online. Please read them carefully. They are written in plain language so you understand your rights and responsibilities without needing a lawyer to interpret them.

1. Acceptance of Terms

By creating an account or using OwnerDirect.online ("ODO"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform.

These Terms apply to all users โ€” buyers, sellers, creators, providers, and administrators โ€” regardless of role.

ODO is operated by Helium Marketing Corporation, registered in the Philippines. Questions: edc.helium@gmail.com.

2. What ODO Is โ€” and Is Not

ODO is a property trust and verification platform. ODO facilitates connections between property owners, buyers, and service providers โ€” and provides tools for title verification, escrow coordination, and transaction audit trails.

ODO is NOT: โ€” A real estate broker or agent. ODO does not represent buyers or sellers. โ€” A legal authority. Trust badges reflect platform-verified documents only โ€” not government certification. โ€” A money holder. ODO does not hold, move, or manage escrow funds. Funds are held by ODO-accredited law offices or partner banks. โ€” A lender. Loan rate information displayed on ODO is indicative only. โ€” A guarantor. ODO does not guarantee any transaction outcome, title status, or property value.

ODO provides the infrastructure for verified, auditable property transactions. All legal decisions remain with the parties involved.

3. Eligibility

To use ODO you must: โ€” Be at least 18 years old โ€” Have legal capacity to enter contracts under Philippine law โ€” Provide accurate identity information during registration โ€” Not be prohibited from using online platforms under Philippine law or the laws of your country of residence

OFW users may register from any country. All transactions governed by Philippine law.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

Notify ODO immediately at edc.helium@gmail.com if you suspect unauthorized access.

ODO may suspend or terminate accounts that violate these Terms, provide false information, engage in fraudulent activity, or harm other users on the platform.

You may not create more than one account per person. Multiple accounts for the purpose of manipulating listings, referrals, or trust badges are prohibited.

5. Listing Rules โ€” Sellers

By posting a listing on ODO you confirm that: โ€” You are the registered owner of the property or are legally authorized to sell it โ€” All submitted documents are authentic and accurate โ€” The title you submit for verification is the current, valid title โ€” You will not list a property that is subject to a pending legal dispute you have not disclosed โ€” You will not accept payment outside of the ODO escrow process

ODO verifies documents submitted by sellers against public records. Verification confirms what was submitted โ€” not the full legal status of the property. Sellers remain legally responsible for the accuracy of their submissions.

Listing fee: โ‚ฑ1,500 per listing. Non-refundable once submitted for verification.

ODO reserves the right to reject or remove any listing at any time without refund if it violates these Terms or applicable law.

6. Buyer Rules

By using ODO as a buyer you agree that: โ€” You will not circumvent the escrow process by paying sellers directly โ€” You will not pressure sellers to accept payment outside ODO โ€” You understand that ODO verification is a platform check โ€” not a legal guarantee of title โ€” You will engage a licensed Philippine lawyer for the final deed of sale and title transfer โ€” You will release escrow only when genuinely satisfied with the transaction

OFW Bundle success fee: โ‚ฑ20,000 โ€” payable only when your transaction closes. Free to start.

If you release escrow and subsequently discover a defect in the title, ODO is not liable. ODO's role ends at the point of your confirmation. Legal recourse is against the seller and/or the law office that processed the transfer.

7. Escrow โ€” How It Works and ODO's Role

ODO is the instruction layer for escrow โ€” not the money holder.

Phase 1: Funds are held by an ODO-accredited law office in their client escrow account. This is standard Philippine real estate practice. Phase 2: Funds will be held by EastWest Bank or another BSP-regulated partner bank.

ODO sends the release instruction only when: 1. The buyer confirms satisfaction on the ODO platform 2. All documents have been verified 3. No active dispute flag exists on the transaction

By using ODO escrow, you agree that: โ€” ODO controls the release instruction, not the funds โ€” The licensed custodian (law office or bank) holds the funds โ€” You may not instruct the custodian directly to release funds outside the ODO process โ€” ODO is not liable for delays caused by the custodian, banking systems, or remittance providers

Remittance methods accepted: GCash Padala, Remitly, Western Union, direct bank transfer. Wire instructions are provided by ODO for each transaction. Never send funds to any account not provided directly by ODO through the platform.

8. Creator and Referral Rules

Creators earn referral income by bringing buyers, sellers, or providers onto the platform through their unique referral link.

Referral earnings are credited automatically when a referred user completes a qualifying transaction within the attribution window (currently 30 days โ€” subject to change via platform config).

By participating as a Creator you agree that: โ€” You will not misrepresent ODO or its services when sharing your referral link โ€” You will not spam, cold-message, or use deceptive tactics to acquire referrals โ€” You will not refer yourself or create fake accounts to generate referral income โ€” Referral earnings are not guaranteed โ€” they depend on referred users completing transactions

ODO reserves the right to withhold referral earnings if fraud or policy violation is detected. Creators found to have manipulated the referral system will be permanently banned.

Referral earnings are paid via GCash or bank transfer. Minimum payout threshold applies (set in platform config).

9. VERA โ€” AI Assistant

VERA is ODO's AI-powered property assistant. VERA provides guidance on property transactions, tax computations, loan rates, escrow processes, and platform navigation.

By using VERA you acknowledge that: โ€” VERA is an AI assistant and may make errors โ€” VERA does not provide legal advice โ€” VERA's tax and loan computations are estimates only โ€” verify with a licensed accountant or lawyer before filing or committing โ€” VERA does not create binding commitments on behalf of ODO โ€” Loan rates quoted by VERA are sourced from published bank rates and may not reflect current offers

If VERA provides information that conflicts with official government, BIR, LRA, or bank communications โ€” trust the official source.

10. Fees and Payments

Current platform fees (subject to change โ€” all rates managed in platform config and updated with 15 days notice):

Seller listing fee: โ‚ฑ1,500 per listing โ€” non-refundable after verification submission OFW Bundle success fee: โ‚ฑ20,000 โ€” charged only at transaction close, free to start Developer success fee: 1% of transaction value Cancellation fee: โ‚ฑ100 retained by ODO if buyer cancels after escrow is funded but before provider work begins

Fees may be updated at any time. Updated fees apply to new transactions only โ€” not transactions already in progress.

ODO does not charge hidden fees. All applicable fees are displayed before you commit to any action on the platform.

11. Prohibited Conduct

You must not use ODO to: โ€” List properties you do not own or are not authorized to sell โ€” Submit forged, altered, or fraudulent documents โ€” Impersonate another person or entity โ€” Circumvent the escrow process โ€” Manipulate trust badges or verification status โ€” Use ODO data to build a competing platform or data product โ€” Scrape, crawl, or extract data from ODO without written permission โ€” Harass, threaten, or deceive other users โ€” Use ODO for money laundering or any activity that violates Philippine AMLA regulations

Violations may result in immediate account termination, referral to law enforcement, and civil or criminal liability.

12. Data and Privacy

Your use of ODO is governed by our Privacy Policy, which is incorporated into these Terms by reference.

ODO collects and processes personal data in compliance with the Data Privacy Act of 2012 (Republic Act 10173). You have the right to access, correct, and request deletion of your data subject to legal retention requirements.

By listing a property on ODO, you consent to ODO sharing verification results (not raw documents) with verified buyers who request them through the platform permission system.

By opting into DaaS (Data as a Service) in Phase 2, you consent to ODO including anonymized data from your transactions in aggregate market intelligence reports.

13. Limitation of Liability

To the maximum extent permitted by Philippine law:

ODO is not liable for: โ€” Title defects discovered after a buyer confirms and escrow is released โ€” Losses arising from a seller's misrepresentation โ€” Delays or failures by escrow custodians, banks, or remittance providers โ€” Inaccurate information provided by VERA โ€” Technical downtime, data loss, or service interruptions โ€” Any indirect, consequential, or incidental damages

ODO's maximum liability to any user for any claim arising from use of the platform is limited to the fees paid by that user to ODO in the 12 months preceding the claim.

Nothing in these Terms limits ODO's liability for fraud, gross negligence, or willful misconduct.

14. Disputes Between Users

ODO is not a party to disputes between buyers and sellers. If a dispute arises:

1. Both parties should first attempt resolution through the ODO platform dispute flag system 2. If unresolved, ODO will escalate to the accredited law office as escrow custodian for mediation 3. If still unresolved, disputes shall be settled by arbitration under the rules of the Philippine Dispute Resolution Center (PDRCI) in Makati City 4. Philippine law governs all disputes

ODO reserves the right to freeze escrow funds pending resolution of a dispute and will not release funds until both parties or a legal authority instructs otherwise.

15. Changes to These Terms

ODO may update these Terms as the platform evolves. Material changes will be: โ€” Communicated via email at least 15 days before taking effect โ€” Posted on the platform with a notice banner โ€” Reflected in the "Last updated" date below

Continued use of ODO after the effective date constitutes acceptance. If you do not agree to updated Terms, you must stop using the platform and may request account deletion.

16. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any dispute not resolved by arbitration shall be brought exclusively in the courts of Makati City, Metro Manila.

For consumer protection matters, users may also contact the Department of Trade and Industry (DTI) or the National Privacy Commission (NPC).
